McDonalds South Africa

Retained to lead a syndicated process for the refinancing of McDonald's South Africa's R1.7 billion revolving credit facility.

  • Exclusively engaged with the five major banks to conduct this syndication

  • Structured a syndicated facility governed by a Common Terms Agreement, enabling multiple lenders to support McDonald's SA under a unified set of common terms

  • Established a comprehensive security arrangement: all mortgage and notarial bonds of the group properties were registered in favour of a single Security SPV, which issues guarantees to each funder

Bright Light Solar

Bright.jpg

Bright Light Solar delivers cost-effective energy solutions to sectional title estates and bodies corporate, managing long term power purchase agreements (PPAs) with these entities. The brief was to structure the corporate arrangement and raise both debt and equity capital.

  • Historically funded through the Section 12J private debt market, Bright Light Solar aimed to access institutional funding

  • We structured a bespoke special purpose vehicle (SPV) to own the solar projects, selling energy to bodies corporate, using bankruptcy-remote securitisation techniques – a highly attractive model for debt capital markets. This entity was designed to attract both debt and equity capital

  • Raised a R300 million equity investment within the capital structure from a prominent impact fund to enhance the credit comfort for senior debt funders

Wonga

Wonga, a short-term lender with a loan book of R100 million at the time, sought to enter the institutional funding market.

  • We applied securitisation techniques to present a ringfenced, attractive profile to capital market funders

  • The initial funding tranche of R50 million was secured from a major South African bank

  • Subsequently, Wonga has accessed two additional R50 million tranches, totalling R150 million in institutional funding

  • This funding approach has transformed Wonga into a sophisticated, profitable, high-growth business

King price

Mergon Limited, the largest single shareholder of short term insurer King Price Limited, raised capital to support a new BEE shareholder.

  • R450 million raised  for an entity within Mergon Limited, the largest single shareholder of King Price.

  • Mergon sought to raise capital against its King Price shares, primarily to fund a new BEE shareholder for the group.

  • We engaged with the market to identify the right funding partner who aligned with King Price’s mission.

Sectional Title Solutions

Sectional Title Solutions, through its lending arm BCFS, unlocked institutional funding to bring its loan book on balance sheet and support ongoing growth.

  • Solutions (Pty) Ltd (“BCFS”), the largest lender to body corporate trusts in South Africa’s growing sectional title residential sector.

  • BCFS had previously facilitated loans to body corporate entities as an agent, funded via the private debt market. BCFS sought to bring the loan book onto its balance sheet and thus needed to secure funding from the institutional capital market to do so.

  • We structured a transaction that enabled the newly constructed lending entity to continuously raise debt capital in the institutional market as needed. The first tranche of funding amounted to R90 million.

Evolution Credit Group LTD

We were mandated by Evolution to assist raising a senior credit facility for the group.

  • We introduced the opportunity to the major banks in South Africa.

  • Following the introduction, Evolution successfully raised an RCF of R100 million and a GBF of R20m from a leading south African bank.

  • Evolution is actively engaging funding partners in raising senior term facilities for their Evolution Finance business that provides unsecured home improvement loans to a primarily lower LSM client base.

TESTIMONIALS

“The Capital Advisory team have done an excellent job of broadening the institutional investor base for Sentinel Finco. That matters, because access to long-term institutional capital ultimately determines how many home buyers we can finance. With the shortage of formal housing in our country and the number of creditworthy consumers who still fall outside conventional mortgage loan policy framework, we think there is considerable room for our model to grow.”

Renier Kriek

CEO of Sentinel Homes

"I would definitely recommend this team to businesses looking to raise capital, looking for innovative solutions, looking for bespoke solutions. The team will take their time to understand and provide them with a solution that suits their requirements. Very happy with the outcome of what we achieved."

Johnny Wates
Group CEO, Sectional Title Solutions (BC Funding Solutions)
